Standard Service Terms
These Service Terms and Conditions (“Terms”) govern all work performed by WM.Digital, LLC (“WMD”) on behalf of the Client, effective upon acceptance of a project proposal or initial payment.
1. Payment Terms
•Full payment is required upfront before any work begins.
•All payments are non-refundable and non-transferable.
•Payments must be made in U.S. dollars via ACH, Zelle, or check only.
•If additional fees arise during the project (e.g., third-party services, scope changes), WMD will issue a final invoice. This invoice must be paid in full before any final deliverables are transferred or the site is launched.
•A $25 late fee and a finance charge will be applied to any unpaid balances.
2. Scope of Work & Collaboration
•All timelines begin once the Client provides complete and final content.
•Clients are responsible for supplying assets such as logos, text, images, and video links in the specified format and layout, unless WMD is hired to do so.
•If the Client does not supply necessary materials within 15 days, the project may be paused or canceled, and a $500 reinstatement fee may apply.
3. Client Responsibilities
•Clients must ensure all provided assets are original or properly licensed.
•WMD is not liable for errors, damages, or malfunctions resulting from any content, code, or access changes made by the Client or its employees, contractors, or third parties. Additional time required to resolve such issues may be billed at our standard hourly rate.
•Clients must respond to project communications within 48 hours, excluding weekends and holidays.
•All key stakeholders should attend scheduled meetings. Additional sessions may incur a fee if decision-makers miss important discussions.
4. Contractors & Subcontractors
•WMD reserves the right to assign subcontractors or contractors to a project to meet deadlines or specialized needs. All work remains under the management and quality assurance of WMD.
5. Intellectual Property
•WMD retains ownership of all design concepts, code, and marketing strategies unless otherwise agreed.
•Upon full payment, Clients receive the right to use deliverables solely for their intended business purposes.
•Deliverables may not be resold, duplicated, or transferred to other businesses without a buyout agreement.
6. Third-Party Tools & Integrations
•Clients are responsible for all third-party costs (e.g., hosting, domain, plugins).
•WMD is not responsible for service disruptions, costs, or issues related to third-party tools or platforms.
7. Project Changes & Reinstatement
•If a project stalls due to missing content or feedback for over 15 days, it may be paused.
•A $500 reinstatement fee will apply to resume work.
•Repeated delays may result in a $500/month project management fee.
8. Monthly Services & Late Payments
•Invoices are due by the 1st of each month.
•A $25 late fee and a finance charge apply to unpaid balances.
•Services may be paused if payment is not received by the 7th, and may be terminated if unpaid by the 14th.
•A $500 reinstatement fee applies to resume paused monthly services.
9. Marketing Strategy Limitations
•While we provide data-driven marketing strategies, we do not guarantee performance outcomes, conversions, or revenue increases.
•WMD is not liable for any direct or indirect losses related to marketing performance or campaign effectiveness.
10. Termination
•This agreement may be terminated by either party with 30 days’ written notice.
•Upon termination, the Client will be invoiced for work completed up to that date.
•After payment, the Client will receive the final approved deliverables.
•WMD reserves the right to discontinue services for violations of these terms or unprofessional conduct.
11. Professional Conduct
•Both parties agree to maintain respectful communication and behavior.
•Hostile, inappropriate, or abusive behavior will result in project termination.
12. Communication & Availability
•WMD is available Monday–Friday, 9 AM to 6 PM ET.
•In-person meetings outside of included sessions may incur travel fees and hourly charges.
•Clients must cancel scheduled meetings at least 24 hours in advance to avoid additional fees.
These terms outline general conditions for WMD’s services. For project-specific deliverables, timelines, and approvals, please refer to the formal signed agreement between WMD and the Client. In the event of conflicting terms, the signed agreement shall take precedence.
